Terms of Service

1. Acceptance of Terms

By engaging with Streetwearhouse LLC ("Company," "we," "us," or "our") for any services, placing an order, or submitting materials for production, you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

Important: These Terms constitute a legally binding agreement between you and Streetwearhouse LLC. Please read them carefully before placing any order.

2. Services Offered

Streetwearhouse LLC provides the following services:

  • Screen Printing: Custom screen printing on various garments and materials
  • Heat Transfers: Production and application of heat transfer designs
  • Tag Services: Coordination of woven tag sewing services (outsourced)
  • Design Adjustments: Minor modifications to improve print quality
  • Garment Sourcing: Procurement and supply of apparel items

All services are subject to our capabilities, equipment limitations, and current capacity.

3. Ordering Process

3.1 Minimum Orders

  • Minimum order quantity: 24 pieces
  • Orders below 24 pieces will be charged as if ordering 24 pieces
  • Maximum order capacity varies; orders exceeding 20,000 pieces require special arrangements

3.2 Quote Validity

  • Quotes are valid for approximately 30 days
  • Prices subject to change after expiration
  • We reserve the right to update pricing due to market conditions

3.3 Order Confirmation

Orders are confirmed only upon:

  1. Customer approval of final artwork proof
  2. Receipt of required deposit or purchase order
  3. Verification of all order specifications
Warning: Approval of final design proof is considered FINAL. Any subsequent changes may result in additional charges and production delays.

4. Pricing and Payment

4.1 Payment Terms

Customer Type Payment Terms
Standard Customers 50% deposit or cost of garments (whichever is greater) upfront; balance due before delivery
Contract Customers NET 30 with approved purchase order

4.2 Deposit Policy

ALL DEPOSITS ARE NON-REFUNDABLE

This includes setup fees, screen fees, and any prepayments. Refunds may be issued solely at our discretion, less any processing or restocking charges.

4.3 Payment Methods

  • Credit/Debit Cards (via secure payment portal)
  • ACH Bank Transfers
  • Company Checks (contract customers only)

4.4 Taxes

  • All applicable taxes are automatically calculated and included
  • Tax exemption available with proper documentation on file
  • Customer responsible for providing valid exemption certificates

4.5 Additional Charges

The following may result in additional charges:

  • Rush order processing
  • Design modifications after approval
  • Quantity changes after production begins
  • Additional print locations
  • Special packaging requirements
  • Expedited shipping

5. Production and Turnaround

5.1 Standard Production Time

  • Standard turnaround: 5-10 business days
  • Time frame is flexible and subject to current workload
  • Rush orders available subject to capacity and additional fees

5.2 Production Delays

Production times may be affected by:

  • Seasonal demand fluctuations
  • Equipment maintenance
  • Material availability
  • Holidays and scheduled closures
  • Acts of God or force majeure events
  • Customer-caused delays (approval delays, material issues)

5.3 Communication

We will make reasonable efforts to communicate any delays or issues that may affect your order timeline.

6. Intellectual Property

6.1 Customer Warranties

By submitting artwork, designs, or content for printing, you warrant and represent that:

  • You own all rights to the submitted materials OR
  • You have obtained all necessary permissions and licenses
  • The materials do not infringe on any copyright, trademark, or other intellectual property rights
  • You have authority to grant us limited rights to reproduce the materials

6.2 Limited License

You grant Streetwearhouse LLC a non-exclusive, limited license to use submitted artwork solely for:

  • Producing your order
  • Creating proofs and samples
  • Internal quality control

6.3 Portfolio Rights

Streetwearhouse LLC reserves the right to photograph, video, or otherwise document the production process and completed work for use in our portfolio, including:

  • Social media posts
  • Website galleries
  • Marketing materials
  • Trade show displays

If you require confidentiality, you must notify us in writing before production begins.

6.4 Rejection of Orders

We reserve the right to refuse any order that:

  • May infringe on intellectual property rights
  • Contains offensive or inappropriate content
  • May expose us to legal liability
  • Violates any applicable laws or regulations

7. Customer-Supplied Materials

7.1 Garment Requirements

Customer-supplied garments must be:

  • Brand new and unwashed
  • Free from defects, stains, or odors
  • Suitable for the requested printing method
  • Delivered in quantities accounting for spoilage

7.2 Risk Assumption

IMPORTANT: Customer assumes ALL RISK for customer-supplied garments, including but not limited to:

  • Damage during printing process
  • Loss or theft
  • Incompatibility with printing methods
  • Color bleeding or other reactions

We are NOT responsible for replacing customer-supplied garments under any circumstances.

7.3 Rejection of Materials

We may reject customer-supplied materials that are unsuitable. Rejected materials may be returned at customer's expense.

8. Quality Standards and Spoilage

8.1 Spoilage Allowance

Industry-standard spoilage rate: 2% or 1 piece per imprint location per garment style, whichever is greater

8.2 Quality Standards

  • Minor variations in print placement (up to ¼ inch) are within acceptable tolerance
  • Color matching aims for within 2-3 PMS shades of specified colors
  • Exact color matching requires specific PMS color notation at order placement
  • Screen-to-print color variations are expected without specific PMS designation

8.3 Defect Policy

Quality issues are handled on a case-by-case basis. We strive for customer satisfaction within reasonable industry standards.

9. Cancellations and Modifications

9.1 Cancellation Rights

  • Orders may be cancelled at any time BEFORE production begins
  • Once production starts, customer is liable for the full order amount
  • If production can be stopped, customer pays for work completed
  • Deposits are NON-REFUNDABLE regardless of cancellation timing

9.2 Modifications

After final proof approval:

  • Design changes incur additional charges
  • Quantity increases subject to capacity
  • Quantity decreases may not reduce total cost
  • Additional locations or colors require re-quoting

10. Delivery and Risk of Loss

10.1 Shipping

  • Default shipping: UPS Ground
  • Special shipping requests must be made at order placement
  • Shipping costs based on order size and destination
  • Local pickup available by appointment only

10.2 Risk of Loss

Risk of loss transfers to customer upon delivery to shipping carrier.

While we will assist with shipping issues, we are not responsible for:

  • Delays in transit
  • Damage during shipping
  • Lost packages
  • Theft after delivery

10.3 Delivery Confirmation

Orders shipped to business addresses may require signature confirmation at customer's request and expense.

11. Warranties and Limitations of Liability

11.1 Limited Warranty

We warrant that our printing services will be performed in a professional manner consistent with industry standards.

11.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

11.3 Limitation of Liability

Our total liability for any claim shall not exceed the amount paid for printing services.

We are NOT liable for:

  • Cost of customer supplied garments
  • Consequential damages
  • Lost profits or business
  • Indirect or punitive damages
  • Costs of re-printing with another vendor

11.4 No Guarantee of Results

We do not guarantee that printed products will achieve any specific business results or sales targets.

12. Chargebacks and Payment Disputes

12.1 Prohibited Chargebacks

Initiating a chargeback after receiving completed goods constitutes theft of services and fraud.

12.2 Proper Dispute Process

Customers agree to:

  1. Contact us directly with any concerns BEFORE initiating chargebacks
  2. Allow 48 hours for response to dispute inquiries
  3. Participate in good faith resolution efforts

12.3 Consequences of Improper Chargebacks

If a chargeback is initiated after receiving goods/services, we may:

  • Pursue all legal remedies including criminal charges for theft
  • Report to credit agencies and industry databases
  • Seek recovery of triple damages plus attorney fees
  • Ban from future services
  • Publicly identify the business as engaging in fraudulent practices

12.4 Documentation

We maintain comprehensive records including:

  • Order confirmations and approvals
  • Production photos and quality checks
  • Shipping tracking and delivery confirmation
  • All customer communications

13. Indemnification

Customer agrees to indemnify, defend, and hold harmless Streetwearhouse LLC, its officers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising from:

  • Violation of these Terms
  • Infringement of intellectual property rights
  • Use of printed products
  • Breach of any warranty or representation
  • Chargebacks or payment disputes initiated in bad faith
  • Claims by end users of printed products

14. Abandoned Property

30-Day Abandonment Policy

Any of the following left unclaimed for 30 days after notice are considered abandoned:

  • Completed orders
  • Customer-supplied materials
  • Samples or test prints
  • Artwork or screens

Abandoned property may be disposed of or sold at our discretion without further notice or compensation.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Missouri without regard to conflict of law principles.

15.2 Jurisdiction

Any disputes shall be resolved exclusively in the courts of Clay County, Missouri. Customer consents to personal jurisdiction in Missouri.

15.3 Dispute Process

  1. Direct Negotiation: 30-day good faith negotiation period
  2. Mediation: Non-binding mediation if requested by either party
  3. Litigation: Court proceedings in Clay County, Missouri

15.4 Attorney Fees

The prevailing party in any dispute shall be entitled to recover reasonable attorney fees and costs.

16. General Provisions

16.1 Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior agreements and understandings.

16.2 Modifications

We reserve the right to modify these Terms at any time. Changes are effective immediately upon posting to our website.

16.3 Severability

If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.4 Waiver

Failure to enforce any provision does not constitute a waiver of future enforcement.

16.5 Assignment

Customer may not assign rights or obligations without our written consent. We may assign our rights and obligations freely.

16.6 Force Majeure

Neither party is liable for delays or failures due to causes beyond reasonable control, including but not limited to:

  • Natural disasters
  • Government actions
  • Labor disputes
  • Material shortages
  • Infrastructure failures

16.7 Electronic Communications

Customer consents to receive electronic communications and agrees that electronic signatures and acceptances are legally binding.

16.8 Survival

Provisions regarding intellectual property, indemnification, limitations of liability, and dispute resolution survive termination.
